Terms and conditions of the partner programme
The Partner Program is open to all persons who have entered into a reseller agreement with the Supplier and are not employees of the Supplier.
Partnership bands
The degree of partner benefits depends on the band of the partner. The bands are determined by the Supplier according to the partner's turnover and other conditions. At the Partner's request, the Supplier will review the Partner's band. Immediately after the evaluation of the partner's status, the partner will be upgraded to a higher level if all conditions have been met. If the conditions are no longer met, the level will be downgraded. This does not apply to Band 1, once a Partner reaches Band 1, they receive the associated benefits for the duration of the Reseller Partner Program. To reach each band, the following requirements must be met:

*The number includes all licenses and other products of the Supplier sold or renewed by the partner in the last year
**Each partner qualifies for the 1st band automatically by fulfilling the condition of purchasing IcyBear products for CZK 300.000 incl. VAT.
Partner benefits
Discount off the recommended price for IcyBear Spark*
A discount is given to each partner who qualifies for Band 1. The discount increases with each additional band level achieved by the partner.

*The percentages shown in this table represent the final amount of the Partner's Commission. Therefore, these percentages do not add up to the Commission stated in the Reseller Agreement (contract with the reseller) that the Partner has concluded with the Supplier.
Marketing support
The Supplier provides marketing support up to 5% of the Supplier's gross turnover from the sale of IcyBear Products. The first 300 partners who qualify for the 1st partnership band are eligible for marketing support. These funds are distributed to each eligible Partner in proportion to the number of their "Partner Program/Reseller" licenses. A partner receives this licence for every CZK 300,000 achieved, incl. VAT on sales or renewals of IcyBear Legacy, Fortune, Treasure or Spark licenses.
The marketing support funds may be used to reimburse the partner for expenses incurred in a given year for demand generation activities (including but not limited to seminars, mailings, advertising) pre-approved by the Supplier. Only external costs related to the marketing initiative can be covered by the funds.
Marketing support funds will be paid monthly. In order to receive marketing support, the partner must submit a marketing plan and budget with planned activities, costs, timeline and expected results. Upon approval of the marketing plan by the Supplier, the Partner will issue an invoice for the claimed
funds. The Supplier may audit the use of marketing support funds at any time. The Supplier must cooperate and provide the necessary documents.
The Supplier reserves the right to cancel the provision of marketing support at any time, in particular if this partner benefit is replaced by the benefits of the provision under the following section (action). There is no entitlement to the provision of marketing support.
Shares
If the Supplier elects to do so, the first 300 Partners who qualify for Partnership Band 1 will be eligible to receive the Supplier's Class B Preferred Stock (unless otherwise specified) in lieu of the Marketing Support Option. The same conditions apply for qualification as for inclusion of a partner in the marketing
support. In the event that a Qualifying Partner acquires and exercises an option to acquire Class B Preferred Stock within the time period specified, Supplier shall have the right to cancel the provision of Marketing Support at any time.
The Supplier shall allocate 5% of its shares for distribution to the partners. The full 5% will then be distributed pro rata to all partners who have duly and timely exercised their option to purchase shares. The shares will be acquired by the partners at the nominal value of the respective share.
The Class B Preferred Shares carry a preferential right to share in the Supplier's profits. The amount of the profit share is again determined pro rata according to the number of Class B Preference Shares of the particular partner. There is no voting right attached to the Class B Preference Shares and their transfer to a third party is limited to the approval of the Supplier's elected body.
Each partner then bears the associated costs of exercising the option, acquiring the share or transferring it to a third party.
Final provisions
Complaints and objections shall be finally decided by the Supplier. In the event that a Partner is found to have acted in breach of these Terms and Conditions, good morals or the purpose of the Event, or is found to have otherwise acted in a speculative manner or in a manner that could jeopardise or damage the Supplier's reputation, the Supplier reserves the right, at its sole discretion, to decide on any sanctions, in particular the withdrawal of any rewards earned or the possibility of excluding the Partner from the Partner Programme without compensation.
